SiAi Terms and Conditions

1. Agreement Overview

By engaging SiAi's services, you ("Client") agree to these Terms and Conditions and our Privacy Policy. This Agreement governs all interactions, communications, and transactions between Client and SiAi.

2. Services Provided

SiAi delivers AI-generated influencer campaigns using advanced language models, real time video synthesis, and proprietary personality modeling systems. The scope and nature of services will be defined per Service Order or proposal.

3. Client Obligations

• • Client must provide all necessary brand assets, direction, and approvals in a timely manner.
• • Client is responsible for ensuring any content, assets, or data provided does not infringe on third party rights and complies with all applicable laws.

4. Fees and Payment

• • All payments are to be made in advance or via subscription, depending on the nature of the work and at our discretion.
• • Payment terms will be outlined in individual Service Orders.
• • Late payments may incur interest charges.
• • Refunds, if applicable, are reviewed case by case and must be requested within 30 days of the original payment date.

5. Intellectual Property

• • SiAi retains full ownership of all core technology, models, code, processes, and platform infrastructure.
• • The Client is granted a non-exclusive, non-transferable license to use final campaign deliverables strictly as outlined in the agreed scope of work.
• • By submitting brand materials, the Client grants SiAi the right to use those materials solely to fulfill services and for internal development purposes.

6. Data and Privacy

• • All data shared with SiAi is handled in accordance with our Privacy Policy.
• • Client is responsible for ensuring lawful collection and sharing of any personal or brand data provided.

7. Service Limitations and Development

• • As with all emerging technologies, certain limitations may exist in visual fidelity, voice synthesis, realism, or platform constraints.
• • These limitations are improving rapidly, and we are committed to continuous development to enhance performance and creative capabilities.
• • Clients acknowledge that minor imperfections may occur as part of working within a developing AI ecosystem.

8. Warranties and Disclaimers

• • SiAi will provide services with reasonable care and technical competence.
• • Except as expressly set forth, all services are provided "as is" and without any other warranties, express or implied.

9. Limitation of Liability

• • SiAi's total liability under this agreement is limited to the total fees paid by the Client for the specific service giving rise to the claim.
• • We are not liable for indirect, incidental, or consequential damages, including lost profits or reputation harm.

10. Indemnification

The Client agrees to indemnify and hold harmless SiAi from any claims, losses, or liabilities arising out of content or materials supplied by the Client, or the misuse of SiAi services in violation of this agreement.

11. Confidentiality

Both parties agree to keep all non-public business, technical, or financial information confidential unless required by law or with prior written consent.

12. Termination

• • Either party may terminate the agreement with written notice if the other party breaches any material term and fails to remedy it within 30 days.
• • Upon termination, the Client is responsible for payment of all services delivered up to the termination date.

13. Governing Law and Dispute Resolution
